Proxies – The Don’ts and Do’s for Managers

Starting February 1, 2018, new provisions in the Condominium Management Services Act, 2015 (CMSA) will prohibit managers from soliciting proxies for owners’ meetings involving matters directly related to the manager, the removal or election of directors, or other prescribed matters. Managers will be allowed to collect or hold proxies, provide information on how to submit proxy forms, notify or remind owners or mortgagees to submit proxies, provide a location in which the proxies can be collected or held, and provide a copy of a proxy form to owners or mortgagees on request. A very limited exception allows managers to solicit proxies for any type of meeting as long as the proxy is used only for quorum purposes.
